These Terms of Service (“Terms”) govern your access to and use of www.astrastrateg.com (the “Site”), operated by Astra Strateg LLC (“Astra Strateg,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Site. By using the Site you represent that you meet this requirement and that any information you provide is accurate.

2. Informational nature; no professional relationship

The Site presents general information about Astra Strateg and our work. Its content is provided for informational purposes only and is not professional, legal, financial, or technical advice. Using the Site or contacting us does not create a client, advisory, or other professional relationship. Any engagement for services will be governed by a separate written agreement.

3. Intellectual property

The Site and its content – including text, design, graphics, logos, the “Astra Strateg” name and marks, and software – are owned by Astra Strateg or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from the Site without our prior written permission, except as permitted by applicable law.

4. Acceptable use

You agree not to:

• use the Site for any unlawful, harmful, or fraudulent purpose;
• attempt to gain unauthorized access to the Site, its systems, or related networks;
• interfere with or disrupt the Site, including by introducing malware or overloading it;

• infringe the intellectual-property or privacy rights of Astra Strateg or any third party.

6. Disclaimer of warranties

The Site is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on it is accurate, complete, or current. 7. Limitation of liability

To the fullest extent permitted by law, Astra Strateg and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Site will not exceed USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Astra Strateg and its members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms or applicable law.

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

10. Changes to the Site and Terms

We may modify or discontinue the Site, or update these Terms, at any time. When we make material changes to these Terms, we will update the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules. Subject to the dispute-resolution section below, the state and federal courts located in Multnomah County, Oregon will have exclusive jurisdiction, and you consent to their jurisdiction and venue.

12. Dispute resolution

Before filing any claim, you agree to first contact us at info@astrastrateg.com and attempt in good faith to resolve the dispute informally for at least 30 days. If we cannot resolve it, any dispute arising out of or relating to the Site or these Terms will be resolved in the courts identified above; alternatively, either party may elect binding arbitration administered under the rules of a recognized arbitration body in Oregon. To the extent permitted by law, disputes will be resolved on an individual basis, and you waive any right to participate in a class or representative action.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies referenced here, are the entire agreement between you and Astra Strateg regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
